PARTNER-DRIVERS MEMBERSHIP PURCHASE AGREEMENT
AND
CONFIDENTIAL, PROPRIETARY, NON-COMPETE & NON-DISCLOSURE AGREEMENT
This Confidential, Proprietary and Non-Disclosure Agreement (“Agreement”) is entered into as of the (“Effective Date” of this “Digital Acceptance Agreement”), ALL TERMS AND CONDITION ARE BINDING BETWEEN BOTH PARTIES, (“THE APPLICANT” herein after referred to as “PARTNER-DRIVER”), who independently owned and operates the business entity named, , with California PUC/TCP credentials.
A California Transportation Charter Party (TCP) permit is required for pre-arranged passenger transport services like limousines, private shuttles, or specialized luxury cars, distinct from taxis. Issued by the California Public Utilities Commission (CPUC), this permit necessitates business registration, commercial insurance, drug testing, and driver safety checks.
Key Requirements and Details
- Purpose: Required for chartering vehicles to individuals or groups for exclusive use.
- Not a Taxi: TCP vehicles must be pre-arranged and cannot pick up "at the curb" or use meters.
- Application Process: Involves filing and obtaining license permits with the CPUC.
CPUC/TCP Registration and Requirements
- Insurance: Commercial auto insurance.
- Drug/Alcohol Testing: Enrollment in a mandated drug and alcohol testing program.
- Background Check: Participation in the DMV Employer Pull-Notice System.
- Vehicle Inspection: Vehicles seating more than 10 are subject to CHP safety inspections.
In according to their registered subscription
- Driver Requirements: A valid California driver's license, clean driving record, and often a Class B license with P endorsement.
- Los Angeles World Airports - Ground Transportation Permit Program
The “Applicant” a licensed CPUC TCP Certified Driver, with office or residence residing within Metro Southern California and San Diego County, by and between:
Freelancer LLC ®, a California Limited Liability Company, with its principal place of business at, 9891 Irvine Center Drive, Suite 200, Irvine, California (“Disclosing Party”),
And the Passenger, Partner-Driver “Applicant”, with its principal place of business at,
(“Receiving Party”, the “Applicant/Passenger/Partner-Driver/Contractor” and/or “Parties address”).
Disclosing Party will be referred to individually as a “Freelancer, Freelance Drivers” and collectively as the “Freelancer LLC ®.”
Receiving Party will be referred to individually as a “Applicant, Passenger or Partner- Driver” and collectively as the “Parties.”
Digital activation, registration, or payment constitutes a legally binding electronic signature under the California Uniform Electronic Transactions Act (UETA) and the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act).
MASTER TERMS APPLICABLE TO ALL SERVICES
Freelancer LLC ® operates as an executive mobility and luxury black car chauffeur-hailing platform providing:
- Technology-enabled booking services
- Subscription membership programs
- Loyalty-based incentives
- Executive transportation coordination
- Independent chauffeur network facilitation
As listed withing their digital subscription/registration
All transportation services are performed exclusively by independently licensed California PUC/TCP-certified operators.
Freelancer LLC does not provide direct transportation services and does not employ chauffeurs.
SERVICE AVAILABILITY & RESERVATION POLICY
All services are subject to:
- 36-hour advance reservation requirement
- Availability of qualified Partner-Drivers
- Subscription status
- Regulatory compliance
Freelancer does not guarantee uninterrupted service, specific vehicle type, chauffeur assignment, pricing stability, or promotional eligibility.
CANCELLATION & BILLING POLICIES
Trip Cancellations
- Cancellations prior to trip confirmation: Subject to standard administrative processing.
- Cancellations within 12 hours of scheduled staging: Subject to $150 cancellation fee.
- Cancellations after driver dispatch or during trip: Full-service charges may apply.
- All services billed in 30-minute increments.
- Holiday rates and surge adjustments may apply.
Subscription Cancellation Policy
- 30-day written notice required.
- Cancellation during current month results in billing for:
- Current month
- Following month
- All privileges remain active until final service date.
- Fees are non-refundable.

VEHICLE ALLOCATION & PASSENGER ACCOMMODATION POLICY
Freelancer maintains strict vehicle allocation standards to ensure:
- Adequate cabin spaciousness
- Proper seating capacity
- Secure storage of passenger personal property
- No compromise of passenger comfort
- Compliance with safety standards
Partner-Drivers must maintain vehicles in full compliance with CPUC/TCP and insurance regulations.
PART I
PARTNER-DRIVER MEMBERSHIP PURCHASE AGREEMENT
1. Independent Contractor Status
Partner-Driver affirms:
- Independently owned California business entity
- Active CPUC/TCP credentials
- Commercial insurance coverage
- Compliance with DMV Pull-Notice
- Enrollment in mandated drug/alcohol testing program
- Enrollment with Los Angeles World Airports - Ground Transportation Permit Program (Los Angeles, Orange and Riverside County)
Partner-Driver is not an employee of Freelancer LLC.
2. Membership Subscription
Monthly Subscription Fee: $29.95
Processed via Stripe.
Benefits include:
- Access to enhanced compensation structure
- Access Partner-Driver Loyalty Incentives and Earnings Program
- Premium ride eligibility
- Incentive postings within User Profile
Non-subscribed drivers are subject to standard compensation.
No subscription guarantees income or specific ride volume.
Compensation models may be modified at Company discretion. Compensation models is available in Partner-Driver profile at: https://www.freelancedrivers.com/drivers-earnings
3. Compensation Structure
Partner-Drivers may earn up to 80% of passenger-paid fares, subject to:
- Subscription status
- Customer satisfaction ratings
- Performance metrics
- Completion of passenger-carrier trips
Compensation models may be modified at Company discretion.
4. Referral Incentives
Referral eligibility requires valid Driver Identification Number (DIN) at registration.
5. Modification Rights
Freelancer reserves the right to modify:
- Subscription pricing
- Compensation structure
- Loyalty benefits
- Incentive eligibility
Consistent with California law.
PART II
PASSENGER MEMBERSHIP PURCHASE AGREEMENT
PASSENGER affirms:
- Applicant is of legal age to enter into such Agreement
- Applicant is not less than 18 years old
- State Identification documents legal age
- Applicant Agrees not to transport firearms or any other illegal substances
- All Applicant under the age of 18 years of age must be accompanied by an adult or legal guardian
2. Membership Subscription
Monthly Subscription Fee: $9.95
Processed via Stripe.
Benefits include:
- 30-day Free Trial
- 15% Reduction off standard pricing
- Passenger Loyalty and Incentives Program
- Random Discount Fares
- Random Invitation to participate in Entertainment Events
- Random Cash Rewards
- Discounts and Incentives on birthdays and wedding anniversaries
Non-subscribed passengers are subject to standard service pricing.
Non-subscribed passengers are not eligible for "Loyalty and Incentives Program"
No user or subscribers are guarantees any specific incentive or rewards within this program.
Awards and Incentives are subject to change without notice.
Any misuse or illegal activity will result in the immediate termination of your subscription.
3. Passenger Rating
Passenger have performance rating which could result in the immediate termination of all privileges due to discrimination, legal substance, adverse character disposition, disrespect, rude or lude conduct. Under Federal Rule of Evidence 404(a)
All drivers vehicles are equipped with video surveillance which records video and voice during all trip transportation.
Entering into this Agreement provides your legal consent to utilize such videos content as evidence of any type of disorderly conduct in a court of law.
Motive, Intent, Plan Federal Rule of Evidence (Rule 404(b)): Past bad acts can be admitted to show motive, opportunity, intent, preparation, plan, knowledge, identity, or absence of mistake, rather than mere propensity.
4. Referral Incentives
Referral eligibility requires valid Driver Identification Number (DIN) at registration of referral.
5. Modification Rights
Freelancer reserves the right to modify:
- Subscription pricing
- Compensation structure
- Loyalty benefits
- Incentive eligibility
Consistent with California law.
PART III
CONFIDENTIAL, PROPRIETARY, NON-COMPETE & NON-DISCLOSURE AGREEMENT
1. Definition of Confidential Information
Includes but not limited to:
- Business models
- Compensation structure
- Loyalty program mechanics
- Pricing methodology
- Subscriber discounts
- Trade secrets
- Software architecture
- Operational policies
- Customer data
- Marketing strategies
2. Non-Disclosure Obligations
Partner-Driver agrees to:
- Maintain strict confidentiality
- Not disclose proprietary information
- Not reverse engineer systems
- Not duplicate loyalty or compensation structures
3. Limited Non-Compete Provision
During active membership and for 12 months following termination, Partner- Driver shall not:
- Replicate Freelancer’s proprietary compensation structure
- Duplicate loyalty program architecture
- Solicit Freelancer’s internal subscriber lists
This provision applies only to proprietary systems and not general chauffeur operations.
4. Ownership
All intellectual property remains exclusive property of Freelancer LLC ® . No license is granted except for limited platform use.
5. Remedies
Breach may result in:
- Immediate termination
- Injunctive relief
- Monetary damages
- Attorney’s fees
DISPUTE RESOLUTION
All disputes shall be resolved through:
- Mandatory mediation in Orange County, California
- Binding arbitration under California law
Venue: Orange County, California.
LIMITATION OF LIABILITY
Freelancer LLC disclaims liability for:
- Service delays
- Cancellations
- Indirect damages
- Lost profits
- Lost of personal property
- Platform interruptions
To fullest extent permitted by law.
DIGITAL ACCEPTANCE & LEGAL BINDING EFFECT
By activating, registering, or submitting payment within the Freelancer mobile application, Partner-Driver:
- Acknowledges full review of Agreement
- Agrees to all terms and conditions
- Consents to electronic records
- Consent to video surveillance for safety
- Passengers under the age of 18 years of age must be accompanied by an adult
- Vehicle allocation is based on number of passenger and their personal property
- Provides legally binding digital signature
Digital activation constitutes legal execution and applicant’s acceptance of all terms and conditions entered herein, past, revised or present.
ENTIRE AGREEMENT
This Agreement supersedes all prior verbal or written discussions.
